Welcome to SANICE.AI, operated by SANICE STAR LTD ("SANICE.AI", "we", "us", "our"). These Terms and Conditions govern your access to and use of the SANICE.AI platform.
By accessing or using the Services, you agree to be bound by these Terms.
SANICE STAR LTD (trading as SANICE.AI) provides an intelligence orchestration platform enabling users to access, coordinate, and interact with multiple AI tools, models, and workflows through a unified interface.
You must be at least 18 years old and have legal capacity to enter a binding agreement. If using on behalf of a company, you warrant you have authority to bind that entity.
SANICE.AI provides software tools and workflows for research, analysis, generation, organisation, and AI-assisted interaction.
The Services rely on third-party model providers, cloud hosting, payment processors, authentication services, analytics services, and other subprocessors. We may add, remove, or modify third-party providers at any time.
Some features may be labelled beta, preview, or experimental. These may be incomplete or subject to material change without notice.
The Services currently use AI models from:
Model availability, versions, and providers may change without notice.
You are responsible for: accurate account information, maintaining confidentiality of credentials, all activity under your account, and promptly notifying us of unauthorised access.
SANICE.AI is designed primarily for professional, business, and productivity use.
Nothing in these Terms excludes rights you have under applicable law that cannot lawfully be excluded.
If New Zealand law applies and you acquire the Services in trade, you and SANICE.AI agree to contract out of the Consumer Guarantees Act 1993 and sections 9, 12A, 13, and 14(1) of the Fair Trading Act 1986, to the maximum extent permitted by law.
If located outside New Zealand, mandatory laws in your country may apply. These Terms apply except to the extent mandatory laws override them.
Certain features operate on a prepaid digital credit basis. A full Glass research workflow currently consumes 30 Credits as a starting estimate, with higher usage possible for advanced processing steps.
Pricing and credit usage may vary by feature, usage volume, selected model, or other technical factors. We may update pricing from time to time.
Any estimated credit cost shown before a task begins is an estimate only. Actual usage may vary based on input complexity, selected models, processing route, and technical constraints.
You authorise us to charge the payment method you provide for purchases, subscriptions, renewals, top-ups, and other applicable charges.
Except where required by law, purchased credits, subscriptions, and usage fees are non-refundable. If a task fails solely due to a verifiable internal system error before meaningful processing, we may restore affected credits at our discretion.
Purchased credits do not expire while your account remains active. We may expire unused credits on accounts inactive for 12 consecutive months, after reasonable notice.
We may suspend access or reverse credits if we reasonably believe a payment was fraudulent, reversed, or connected with payment abuse.
You retain ownership of prompts, uploads, files, and other content you submit ("Input").
You grant SANICE.AI a non-exclusive, worldwide, royalty-free licence to process your Input solely to provide the Services, maintain security, comply with law, and enforce these Terms.
You must not upload content that infringes others' rights, violates law, contains malware, or is subject to confidentiality restrictions prohibiting its use.
The Services may generate text, summaries, research, analysis, recommendations, and other outputs ("Output").
AI systems may generate similar outputs for different users. SANICE.AI does not guarantee exclusivity or uniqueness of any Output.
AI systems can make mistakes, omit facts, or produce inaccurate results. Output is for general informational purposes only and must be independently reviewed before being relied on for legal, medical, financial, or other high-stakes decisions.
The Services do not provide legal, medical, financial, tax, or other regulated professional advice.
Glass research reports do not constitute financial advice, investment recommendations, or securities analysis as defined by applicable financial services law. Stock analysis, investment comparisons, and market research produced by Glass are for informational purposes only. All investment decisions must be made in consultation with a licensed financial adviser. Past performance data referenced in reports does not guarantee future results.
Our handling of personal information is described in our Privacy Policy, which forms part of your use of the Services.
To provide the Services, we may process your Input, Output, usage records, and account details.
We may send limited data to third-party model providers where necessary to operate the Services. Third-party systems remain outside our direct operational control.
SANICE STAR LTD does not use your private prompts, files, or project content to train our own foundational AI models.
Your information may be processed in countries other than your own, including by cloud providers and model providers (including Supabase — Singapore, Railway — USA, Anthropic — USA, Google — USA, xAI — USA).
We retain data as long as reasonably necessary to provide Services, meet legal obligations, and operate backups. Deletion requests may be subject to legal retention requirements.
You must not use the Services to: violate any law; infringe intellectual property or privacy rights; generate harmful, fraudulent, or deceptive content; create malware; bypass rate limits or technical protections; scrape or reverse engineer the Services; or use the Services in connection with weapons, unlawful surveillance, or prohibited high-risk activities.
We aim to provide reliable access but do not guarantee uninterrupted or error-free operation.
The Services may be unavailable due to maintenance, model unavailability, third-party provider outages, or events beyond our reasonable control.
We may add, remove, suspend, or modify features, pricing, model availability, or supported functionality from time to time.
We may suspend access immediately to protect the Services, prevent fraud, investigate breaches, comply with law, or address non-payment.
You may stop using the Services or close your account at any time via account controls or by contacting us.
We may terminate your account if you materially breach these Terms, repeatedly violate usage policies, or your use creates legal or security risk.
Upon termination your right to use the Services ends. Unused credits may be forfeited if an account is terminated for fraud or serious misuse.
The Services, including software, interface, workflows, branding, and underlying technology, are owned by or licensed to SANICE STAR LTD and protected by intellectual property laws.
If you provide feedback about the Services, you grant SANICE.AI a worldwide, perpetual, royalty-free licence to use and incorporate that feedback without compensation.
The Services may contain links to or dependencies on third-party services. SANICE.AI is not responsible for third-party products, policies, or acts.
To the maximum extent permitted by law, the Services are provided on an "as is" and "as available" basis. SANICE.AI disclaims all warranties, including any implied warranties of merchantability, fitness for purpose, or accuracy.
SANICE.AI will not be liable for indirect, incidental, consequential, or punitive loss, or loss of profits, data, goodwill, or opportunity.
SANICE.AI's total aggregate liability will not exceed the greater of: the total amount paid by you in the 12 months before the claim; or NZD $100.
Nothing excludes liability that cannot lawfully be excluded under applicable law.
You will indemnify SANICE STAR LTD from third-party claims arising from your Input, misuse of the Services, breach of these Terms, or violation of applicable law.
You must not use the Services where failure or inaccuracy could cause death, personal injury, or property damage, including in medical devices, critical infrastructure, or life-support systems.
Before formal proceedings, contact us and make a genuine effort to resolve disputes informally.
These Terms are governed by the laws of New Zealand.
Subject to applicable law, the courts of New Zealand have non-exclusive jurisdiction over disputes.
We maintain reasonable technical and organisational safeguards. Where required by law, we will notify affected individuals of notifiable privacy or data breaches.
We may update these Terms. If we make material changes, we will provide notice. Continued use constitutes acceptance.
These Terms form the entire agreement between you and SANICE.AI regarding the Services.
If any provision is invalid, the remaining provisions remain in full force.
Failure to enforce any provision is not a waiver of that provision.
You may not assign these Terms without our prior written consent.
SANICE.AI is not liable for delay or failure caused by events beyond our reasonable control.
